Marketplace & Developer Agreement

1. Scope

This Marketplace & Developer Agreement ("Agreement") governs your use of the Burdenoff developer portal and app marketplace (the "Marketplace") — the shared platform feature, available to every Burdenoff product, that lets a "Publisher" list applications, integrations, workflow nodes, agents, or digital/physical products (each a "Listing") for other Burdenoff customers to discover, install, or purchase. By registering a publisher profile or submitting a Listing, you agree to this Agreement in addition to our Terms of Service and Acceptable Use Policy. If you are entering into this Agreement on behalf of a company, you represent that you have authority to bind that company.

2. Publisher Onboarding & Verification

To publish a Listing, you must create a Publisher profile with accurate legal name, contact, and (where applicable) tax information. Listings above certain trust thresholds, or Publishers requesting payouts, must complete identity/business verification before publishing or before payouts are released. We may request supporting documentation as part of verification and may decline or revoke Publisher status where verification cannot be completed or information provided is false or incomplete.

3. Listing Terms

• You represent that you own or have all rights necessary to publish and license each Listing, and that it does not infringe any third party's intellectual property or other rights.
• Your Listing description, pricing, screenshots, and metadata must be accurate and not misleading. Every Listing goes through a review step before it becomes publicly visible, and may be placed in a pending, unlisted, deprecated, or rejected state at our discretion if it fails review or is later found not to comply with this Agreement or our Acceptable Use Policy.
• You are solely responsible for supporting your Listing, including responding to customer support requests related to it, and for any warranty, refund, or liability obligations relating to it beyond what Burdenoff separately provides for the underlying platform.
• You retain ownership of your Listing's intellectual property. You grant Burdenoff a non-exclusive, worldwide license to host, display, distribute, and promote your Listing within the Marketplace for as long as it remains published.

4. Revenue Share & Fees

For paid Listings, Burdenoff's standard platform fee is 15% of net sales revenue (after payment-processor fees and any applicable refunds), meaning Publishers receive 85% of net sales revenue by default. A different revenue share may apply where you have a separately negotiated tiered agreement with Burdenoff (for example, for high-volume Publishers); where one exists, it controls over this default. There is no charge to create a Publisher profile or submit a free Listing.

5. Payouts

• Earnings are aggregated per Publisher on a monthly billing period and disbursed to your configured payout method (bank transfer or supported payment-processor payout) after the period closes.
• Payout method details you provide (such as bank or PayPal-equivalent account information) are encrypted and used only to disburse your earnings.
• We may withhold or reverse a payout, in whole or in part, for a Listing or transaction under active dispute, fraud investigation, chargeback, or a suspected violation of this Agreement or our Acceptable Use Policy, until the matter is resolved.
• You are responsible for any taxes owed on your earnings; where required by law, we may withhold tax or request tax documentation before releasing a payout.

6. Moderation & Takedown

We may review, suspend, unlist, or remove any Listing, at any time and with or without prior notice where we reasonably believe it: violates this Agreement, our Terms of Service, or our Acceptable Use Policy; infringes a third party's rights following a valid takedown notice; poses a security, privacy, or safety risk to customers; or is associated with a Publisher account that fails or has its verification revoked. Where practicable, we will notify the affected Publisher of the reason for a moderation action and provide an opportunity to respond or cure the issue before a permanent removal, except where we reasonably believe immediate removal is necessary to protect customers or the Marketplace.

To report a Listing you believe violates this Agreement or infringes your rights, contact contact@burdenoff.com with the Listing name, a description of the issue, and, for an intellectual-property claim, evidence of your rights.

7. Suspension & Termination

Either party may terminate this Agreement at any time. On termination, your existing Listings will be unpublished, and any earned but undisbursed payout for completed, non-disputed transactions prior to termination remains payable on the normal monthly payout schedule, subject to Section 5. We may suspend or terminate your Publisher account immediately for a material breach of this Agreement, our Terms of Service, or our Acceptable Use Policy.

8. Disclaimers & Liability

The Marketplace is provided "as is." Burdenoff does not guarantee any level of discovery, installs, or sales for a Listing. Except as separately agreed in writing, the limitation of liability in Section 10 of our Terms of Service applies to this Agreement.

9. Changes to This Agreement

We may update this Agreement from time to time. Material changes take effect no sooner than 30 days after we post the updated Agreement on this page with a new "Last updated" date; continuing to operate a Listing after that date constitutes acceptance of the updated Agreement.
